Terms of Service

These Terms of Service ("Terms") govern your use of the Automated Intake Chrome extension and related services (the "Service") operated by All Professional LLC, doing business as Automated Shop Solutions ("we," "us," or "our"). By using the Service, you agree to these Terms.

1. Acceptance of Terms

By installing, accessing, or using the Automated Intake extension, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

Automated Intake is a Chrome browser extension that records customer check-in conversations, transcribes them using AI, extracts structured data, and populates repair order fields within supported shop management systems. The Service is designed for use by automotive service advisors and shop personnel.

3. User Accounts and API Keys

Certain features of the Service may require you to provide your own API keys for third-party services (Deepgram, Anthropic). You are responsible for maintaining the security of your API keys and for any usage charges incurred through those third-party services. We are not responsible for charges incurred through your API keys.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in violation of any applicable law or regulation
  • Record conversations without proper consent as required by your jurisdiction's recording laws
  • Attempt to reverse engineer, decompile, or disassemble the Service
  • Use the Service to transmit malicious code or interfere with other users
  • Resell, sublicense, or redistribute the Service without our written consent

5. Recording Consent

You are solely responsible for complying with all applicable federal, state, and local laws regarding the recording of conversations. Many jurisdictions require all-party consent to record conversations. It is your responsibility to obtain appropriate consent before using the recording feature. We recommend clearly informing customers that their conversation may be recorded for service documentation purposes.

6. Subscription and Billing

The Service is available with a 30-day free trial via the Chrome Web Store, followed by a monthly subscription. Founding member pricing ($169.99/mo) is available to the first 50 shops and is locked in for the life of the subscription. You may cancel at any time. Cancellation takes effect at the end of the current billing period. Refunds are provided at our discretion.

7. Intellectual Property

The Service, including its code, design, and documentation, is owned by All Professional LLC. You retain ownership of any data you input into or generate through the Service, including transcriptions and extracted work order data.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated transcriptions or extractions will be 100% accurate. You should always review generated work order data before finalizing repair orders.

9. Limitation of Liability

To the maximum extent permitted by law, All Professional LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless All Professional LLC and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law regarding conversation recording.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

12. Termination

We may suspend or terminate your access to the Service at our discretion if you violate these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

13. Governing Law

These Terms shall be governed by the laws of the State in which All Professional LLC is organized, without regard to conflict of law principles.
